All orders are subject to acceptance by Punch Pizza, and we reserve the right to refuse or cancel any order at our sole discretion, including but not limited to situations involving pricing errors, product unavailability, suspected fraud, or system errors.

Order confirmation via email or on-screen notification does not constitute final acceptance. Acceptance occurs when we begin preparing your order.

5.2 Pricing

All prices listed on our Site are in United States Dollars (USD) and are subject to applicable sales taxes as required by federal, state, and local laws. We reserve the right to change prices at any time without prior notice. Prices at the time of order placement are the prices that apply to that specific transaction.

We make every effort to ensure pricing accuracy on our Site; however, in the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price and issue a full refund to the payment method used.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been accepted and preparation has begun. Cancellations requested before order preparation begins may be eligible for a full refund. Cancellation requests after preparation has commenced may not be honored.

Delivery availability, minimum order amounts, delivery fees, and estimated delivery times vary and are subject to change. Delivery is available only within our designated service areas. Punch Pizza is not responsible for delays caused by events outside of our reasonable control, including but not limited to traffic conditions, severe weather, or third-party delivery partner issues.

Upon delivery, it is your responsibility to inspect your order. Any discrepancies or concerns must be reported to us promptly. Delivery is deemed complete upon handoff to you or any individual at the delivery address.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes related to ordering food and using our Services. This license does not include the right to:

  • Loss of profits, revenue, or anticipated savings.
  • Loss of data or information.
  • Loss of business opportunities or goodwill.
  • Personal injury or property damage arising from your use of the Site or Services.
  • Unauthorized access to or alteration of your transmissions or data.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — EVEN IF PUNCH PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PUNCH PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of certain damages; in such states, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Punch Pizza and its respective officers, directors, employees, agents, partners, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

These Terms are subject to applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing unfair or deceptive acts and practices in commerce, as well as all applicable state consumer protection statutes. Nothing in these Terms limits any consumer protection rights that you may have under applicable federal or state law that cannot be waived by agreement.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, we encourage you to contact us first to attempt to resolve any dispute informally. We will make a good faith effort to resolve the issue within thirty (30) days of receiving your written notice.

14.2 Binding Arbitration

If informal resolution is unsuccessful, and to the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, including their enforceability, validity, scope, or the breach thereof, shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration organization.

The arbitration shall be conducted in English, in the United States, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

The parties agree that the arbitration shall be conducted on an individual basis only. Neither party shall have the right to participate in a class action, class-wide arbitration, consolidated arbitration, or arbitration as a representative or member of a class with respect to any claim covered by these Terms.

14.3 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this section shall limit either party's ability to file a complaint with applicable regulatory authorities.

14.4 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTH YOU AND PUNCH PIZZA WAIVE THE RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES.

15. Term and Termination

These Terms are effective from the moment you first access or use our Site or Services and remain in full force and effect for as long as you continue to use the Site or maintain an account with us.

Any provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution — shall survive termination and continue to apply.

Punch Pizza shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government orders or restrictions, labor strikes, supply chain disruptions, power outages, war, terrorism, or failures of third-party service providers.

In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Punch Pizza with respect to the subject matter herein and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Punch Pizza regarding such subject matter.

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
